IMPORTANT NOTICE: ARBITRATION AND CLASS ACTION WAIVER
Section 24 of this Agreement contains a binding arbitration clause and class action waiver. With limited exceptions, all disputes must be resolved through individual binding arbitration. You waive your right to a jury trial or class action. You may opt out within 60 days of first use by emailing support@paybridger.com with subject line "Arbitration Opt-Out." PLEASE READ SECTION 24 CAREFULLY.
THIS IS NOT A LOAN. PAYBRIDGER PROVIDES ACCESS TO WAGES YOU HAVE ALREADY EARNED. WE HAVE NO RIGHT TO COLLECT ANY AMOUNT FROM YOU BEYOND THE NET WAGES DEPOSITED INTO YOUR PAYBRIDGER ACCOUNT.
1. PARTIES AND ACCEPTANCE
These Terms and Conditions ("Agreement") form a legally binding contract between you ("you," "your," or "user") and 2147M Equity LLC DBA PayBridger, a Delaware limited liability company with its principal place of business at 1178 Broadway, 3rd Floor #489, New York, NY 10001 ("PayBridger," "we," "us," or "our").
This Agreement governs your access to and use of:
- The PayBridger mobile application ("App")
- The PayBridger website at paybridger.com ("Website")
- All PayBridger products and services (collectively, "Services")
By creating an account or using the Services, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not use the Services.
To use PayBridger, you must:
- Be a U.S. citizen or legal permanent resident
- Be at least 18 years of age
- Have a valid U.S. bank account and mobile phone number
- Maintain only one PayBridger account in your real legal name
- Not be prohibited by applicable law from using financial services
Creating an account with false information will result in immediate termination and may constitute fraud under 18 U.S.C. § 1343.
2. EARNED WAGE ACCESS IS NOT A LOAN
PayBridger provides Earned Wage Access ("EWA") services that allow you to access a portion of wages you have already earned but not yet received from your employer. PayBridger's services are:
- NOT a loan
- NOT credit
- NOT a cash advance
- NOT subject to interest charges of any kind
- NOT subject to credit reporting for nonpayment
- NOT subject to mandatory debt collection for nonpayment
PayBridger's EWA service is fully nonrecourse with respect to repayment. This means PayBridger has no legal or contractual right of repayment against you and will not:
- Report nonpayment to any consumer credit bureau
- Refer unpaid balances to a third-party debt collector
- Initiate civil legal proceedings solely to collect an unpaid wage advance
- Charge interest, late fees, or penalties on unpaid balances
If you are unable to repay, your account will be suspended and permanently closed. PayBridger absorbs the loss. That is the nature of nonrecourse EWA.
IMPORTANT DISTINCTION (FRAUD):
The nonrecourse protections above apply to genuine inability to repay. They do not apply to fraud. If you obtained a wage advance through false or misleading information, including a false identity, false employer, or materially false income, that conduct constitutes wire fraud under 18 U.S.C. § 1343 regardless of the nonrecourse nature of the product. The fraud occurred at application, not at repayment. PayBridger will pursue all available remedies including law enforcement referral in confirmed fraud cases. See Section 12.
2A. PROHIBITED USE OF ACH REVOCATION
The Electronic Fund Transfer Act and Regulation E provide consumers the right to revoke ACH authorization. PayBridger respects this right for legitimate purposes.
However, revoking ACH authorization as a deliberate strategy to retain wage advance funds without repayment constitutes:
- Theft by deception under applicable state law
- Wire fraud under 18 U.S.C. § 1343
- Fraudulent misrepresentation under this Agreement
- Intentional breach of contract
By accepting a wage advance, you represent and warrant that your ACH authorization will remain in effect through your repayment date and that you will not revoke authorization as a means of avoiding repayment of funds already received.
If you revoke ACH authorization after receiving a wage advance and do not immediately repay the full outstanding balance by alternative means within 3 business days of revocation:
- PayBridger will pursue all available legal remedies including civil litigation for theft by deception and fraudulent misrepresentation
- PayBridger will file reports with applicable law enforcement agencies including local police and the FBI Internet Crime Complaint Center (IC3)
- PayBridger will report the conduct to all other EWA providers through industry fraud sharing networks
- PayBridger will pursue recovery of all legal fees and costs incurred in collection efforts
- PayBridger will blacklist the user's device, bank account, SSN, phone number, and identity from all future PayBridger services
The nonrecourse provisions of Section 2 do not apply and are void in cases of intentional ACH revocation fraud.
3. FEE SCHEDULE
All fees are fully disclosed before you confirm any transaction. PayBridger charges no interest. No tips, gratuities, or voluntary contributions are ever solicited, suggested, or accepted.
3.1 Membership Plans
PayBridger offers two membership plans. Your plan determines whether you can transfer earned wages. Transfer amounts are determined separately by your account access level (see Section 5.2).
Free Plan: $0.00 per month
Bank verification, dashboard, earned wage visibility, and all financial insights (spending breakdown, subscription detection, and payday outlook). The Free plan does not include earned wage transfers.
Plus Plan: $9.99 per month
Everything in Free, plus earned wage transfers. A 24-hour waiting period applies between transfers. The membership fee is charged before any wage transfer.
3.2 Transfer Delivery Fees
Standard Delivery (1 to 3 business days): FREE. Always.
PayBridger charges a $4.99 fee for expedited wage access transfers. When you request a transfer, PayBridger will process it via the fastest rail available for your bank — Real-Time Payments (RTP) where supported, or ACH where RTP is unavailable. The $4.99 fee covers priority processing and fastest available delivery. PayBridger does not guarantee a specific delivery time, as transfer speed is subject to your bank's processing schedule and network participation.
3.3 Returned Payment Processing Fee
A returned payment processing fee of $15.00 may be charged to recover PayBridger's bank processing costs for each returned ACH item, as permitted by applicable law. This fee is not interest and is not a charge on your advance. PayBridger will not assess more than one (1) returned payment processing fee per advance, regardless of the number of retry attempts made.
3.4 No Tips, Ever
PayBridger does not solicit, suggest, accept, or require tips, gratuities, voluntary contributions, or any similar optional payment. No tip prompt will ever appear anywhere in the PayBridger app or website.
3.5 No-Cost Option
PayBridger always offers at least one no-cost delivery option. Standard delivery (1 to 3 business days) is always available at no charge on every transfer.
3.6 No-Cost Access Election
No-Cost Access Election. You may elect to use PayBridger's earned wage access service at no cost. To exercise this option, email support@paybridger.com with the subject line "No Cost Access." Upon receipt, your membership fee will be waived and you will retain full access to wage transfer functionality. PayBridger will not condition the availability of wage access on payment of any membership fee.
4. AUTO-RENEWAL AND CANCELLATION
4.1 Auto-Renewal
Paid membership plans automatically renew each month on your billing anniversary date until cancelled. You will be charged your plan fee on the same date each month to your linked payment method.
4.2 Cancellation Rights
You may cancel your PayBridger membership at any time without penalty by:
- Emailing support@paybridger.com
- Using the cancellation option in the app under Account Settings
If your PayBridger Plus membership is cancelled or lapses for any reason, your ability to request wage access transfers is immediately suspended. Any pending transfers at the time of cancellation will be processed; no new transfer requests will be accepted until an active membership is restored.
Cancellation takes effect at the end of your current billing period. You retain plan access until the end of the paid period. Any outstanding wage advance balance remains due and will be collected on your next scheduled payday regardless of cancellation status.
UNINSTALLING THE PAYBRIDGER APPLICATION DOES NOT CANCEL YOUR MEMBERSHIP OR TERMINATE THIS AGREEMENT. TO CANCEL YOUR MEMBERSHIP AND TERMINATE YOUR ACCOUNT, YOU MUST CONTACT PAYBRIDGER AT support@paybridger.com AND RECEIVE WRITTEN CONFIRMATION OF CANCELLATION. MEMBERSHIP FEES CONTINUE TO ACCRUE UNTIL WRITTEN CONFIRMATION IS PROVIDED.
4.3 Plan Changes
You may downgrade to the Free plan at any time. Downgrade takes effect at the start of your next billing cycle.
4.4 Refund Policy
Membership fees are non-refundable. If you cancel your paid membership plan, you retain access through the end of your current billing period and no further charges are made. No prorated or partial refunds are issued for unused days in a billing period.
The $4.99 expedited transfer fee is non-refundable once your wage transfer has been initiated and funds have been sent to your linked bank account.
Returned payment processing fees (Section 3.3) are refundable only if PayBridger determines the return was caused by a PayBridger processing error.
PayBridger does not charge interest on wage advances. There is no interest to refund.
5. WAGE ADVANCE SERVICE
5.1 How Your Available Amount Is Determined
PayBridger calculates your available wage advance based on the following factors:
- Verified hours worked in the current pay period
- Your stated hourly rate or annual salary
- Your employer and pay schedule
- Your account history
- Real-time bank balance data via Plaid
- PayBridger's proprietary risk assessment model
PayBridger reserves the right to adjust, reduce, or deny any wage advance request at its sole discretion based on risk factors, account history, or other criteria.
5.2 Access Levels (Daily Access and Payday Limit)
All new accounts start at the entry access level regardless of which membership plan they select. Both the daily access amount and the payday limit can increase over time as your account is established. The payday limit is a separate cap from the daily access amount and resets on payday.
- Level 1: $25/day, $100 until payday.
- Level 2: $100/day, $200 until payday.
- Level 3: $250/day, $350 until payday.
- Level 4: $500/day, $500 until payday.
Your membership plan controls whether you may transfer. Your access level controls how much you may transfer per day and before your next paycheck. These two systems are coupled: Free members cannot transfer regardless of their access level.
5.3 Repayment
By accepting a wage advance, you authorize PayBridger to initiate an ACH debit from your linked bank account on your next payday for the full advance amount plus any applicable fees you have selected.
Failed Repayment; Retry Schedule. If your ACH debit is returned or fails for any reason on the Repayment Date, PayBridger may retry the debit up to two (2) additional times as follows:
- Retry 1: Approximately 3 business days after the initial failed debit
- Retry 2: Approximately 5 business days after Retry 1 failure
PayBridger will notify you via SMS and/or email at least 24 hours before each retry attempt. PayBridger will not attempt more than three (3) total ACH debits (1 initial + 2 retries) in connection with any single advance repayment. All ACH activity complies with NACHA Operating Rules.
Account Suspension. If your repayment is not successfully processed after all retry attempts, your access to future advances will be suspended until your outstanding balance is repaid in full. Membership fees will continue to accrue during any suspension period. Upon successful repayment of your full outstanding balance, advance access will be restored automatically within 1 business day.
Voluntary Repayment. You may contact PayBridger at support@paybridger.com at any time to arrange voluntary repayment of an outstanding balance, update your linked bank account, or request a repayment date adjustment. PayBridger may, at its sole discretion, adjust the retry schedule for consumers experiencing temporary financial hardship.
Repayment Method. Repayment is collected exclusively via ACH debit from your linked bank account. PayBridger does not accept repayment via credit card or charge card.
Repayment Timing. Your repayment is scheduled for your next payday as identified by PayBridger through your linked payroll data. ACH debit for repayment will be initiated one (1) business day before your scheduled payday to account for standard ACH processing time. You may revoke your ACH authorization by contacting support@paybridger.com no later than three (3) business days before the scheduled ACH initiation date. Business days exclude Saturdays, Sundays, and federal banking holidays.
Debit Card Re-Presentment. If you have authorized repayment via debit card and a transaction is returned or declined, PayBridger may re-present the debit up to two (2) additional times following the initial return, in accordance with NACHA operating rules. You will be notified of any failed repayment attempt. No additional fees will be assessed solely as a result of a returned debit.
5.4 Delivery Options
Standard Delivery: Funds arrive in 1 to 3 business days at no charge.
6. ACH AUTHORIZATION
By using PayBridger you authorize 2147M Equity LLC DBA PayBridger to:
- Initiate ACH debit entries to your linked bank account for all wage advance amounts plus any applicable fees on your designated repayment date
- Initiate ACH debit entries for returned payment fees of $15.00 in the event of a failed repayment
- Initiate ACH credit entries to deliver funds to your linked bank account
This authorization is given pursuant to the Electronic Fund Transfer Act (15 U.S.C. § 1693 et seq.) and Regulation E (12 C.F.R. Part 1005). It remains in effect until revoked in writing with at least 3 business days advance notice before the scheduled transaction date.
PayBridger will provide advance notice of the debit amount and date through the app and by email before each repayment. If PayBridger collects payment earlier than disclosed or in a different amount than disclosed, PayBridger will reimburse you for any overdraft or non-sufficient funds fees incurred as a direct result.
6.1 ACH Authorization and Revocation
By using PayBridger's wage access service, you authorize PayBridger to initiate ACH debits from your linked bank account for repayment of accessed wages. This authorization may be revoked by contacting PayBridger support at least 3 business days before the scheduled repayment date.
Revoking ACH authorization after receiving a wage access does not eliminate your obligation to repay the accessed amount. Revoking ACH authorization will result in immediate termination of your PayBridger membership and permanent closure of your account for wage access services. Membership fees are non-refundable upon revocation.
PayBridger reserves the right to report ACH revocation events to fraud prevention networks and to share information about revocation events with other financial service providers for fraud prevention purposes.
7. IDENTITY VERIFICATION
7.1 Identity Verification
PayBridger may require identity verification before processing your first wage advance or at any time deemed necessary for fraud prevention. Identity verification is powered by Plaid and bank-account verification.
8. DEVICE, IP, AND FRAUD PREVENTION CONSENT
You consent to PayBridger collecting the following for fraud prevention, security, and compliance:
- Device identifiers and device fingerprint data
- IP address and approximate geographic location
- Application behavior signals including form completion timing and input methods
- Browser and operating system characteristics
- Phone number type and carrier information
This data is used solely for fraud prevention and compliance and is not sold to third parties.
9. EMPLOYMENT AND INCOME VERIFICATION
To access wage advances you must provide accurate information about:
- Your employer name and contact information
- Your pay schedule and next expected payday
- Hours worked in the current pay period
- Your hourly rate or annual salary
By using the Services you authorize PayBridger to verify this information against your bank transaction history through Plaid, including payroll deposit patterns, account balance history, and income consistency. PayBridger may use this verification to adjust, reduce, or deny your available amount.
You represent and warrant that all employment and income information you provide is accurate and complete. Providing materially false information to obtain a wage advance constitutes wire fraud under 18 U.S.C. § 1343 and will be treated as confirmed fraud under Section 12 of this Agreement.
10. THIRD-PARTY SERVICES
PayBridger uses the following third-party services. Your use of PayBridger constitutes acceptance of their applicable terms and privacy policies:

12. FRAUD: POLICY AND CONSEQUENCES
12.1 What Constitutes Fraud
The following constitute fraud under this Agreement and applicable federal law regardless of the nonrecourse nature of PayBridger's EWA product:
- Providing a false identity, name, SSN, or date of birth during account creation
- Using another person's identity or financial information without authorization
- Providing false or unverifiable employer information
- Materially misrepresenting hours worked or income to obtain a larger advance than you would otherwise qualify for

In confirmed fraud cases PayBridger will:

All application data, device identifiers, photographs, and behavioral signals are logged and retained specifically for use in fraud investigation and prosecution.
13. NON-PAYMENT: POLICY
13.1 Our Commitment to You
If you cannot repay your wage advance on the scheduled date, contact us before that date at support@paybridger.com. We will work with you on a reduced payment schedule at no additional cost, no interest, and no penalties.
We understand that circumstances change. PayBridger is here to help, not to add stress to an already difficult situation.
13.2 What Happens With Non-Payment
While PayBridger's earned wage access product is nonrecourse by design and regulatory requirement, unresolved balances are not ignored. Every unpaid balance is:
- Logged permanently in our internal risk database
- Reported to EWA industry fraud prevention networks shared across financial services providers, meaning other earned wage access and fintech applications may decline to serve you
- Associated permanently with your device, bank account, phone number, email address, and identity
- Reviewed by our risk team for indicators of fraud or misrepresentation that may warrant law enforcement referral per Section 12
PayBridger does not take non-repayment lightly. We extend earned wage access in good faith based on verified income and employment. Choosing not to repay has real and lasting consequences for your ability to access financial services, not just with PayBridger, but across the broader fintech ecosystem.
PayBridger will NOT:
- Report nonpayment to consumer credit bureaus
- Refer standard unpaid balances to a third-party collections agency
- Initiate civil legal action solely to recover an unpaid wage advance
- Charge interest, late fees, or penalties on unpaid balances
13.3 Payment Plans
If you contact us before or shortly after a failed repayment, PayBridger may offer a payment plan with the following terms:
- Maximum 3 installments
- Spread across your next 3 paydays
- No additional fees, interest, or penalties
- Account reinstated after first successful payment
- Full access restored after balance is cleared
- Available once per 12-month period

23. INDEMNIFICATION

24.1 Binding Arbitration
Except as provided in Section 24.5, any dispute, claim, or controversy arising from this Agreement or the Services shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules rather than in court. A single arbitrator shall preside. Judgment on the award may be entered in any court having jurisdiction.
24.2 Class Action Waiver

29. EARNED WAGE ATTESTATION AND HOURS REPORTING
At the start of each pay period, you are required to confirm your employment status and estimated working hours for that period. By completing this attestation you represent that: (i) you are currently employed at the employer listed on your account; (ii) the hours you have reported reflect your actual or expected working hours for the current pay period; and (iii) the wages you are accessing represent compensation for work already performed or hours already worked. You may update your reported hours at any time during the pay period to reflect schedule changes. PayBridger uses your reported hours in good faith to calculate your estimated earned wages. Intentional misrepresentation of hours or employment status constitutes a material breach of these Terms and may result in immediate account termination.
